Convenience translation. This English version is provided for information only. Only the German version is legally binding: Allgemeine Geschäftsbedingungen (Deutsch).
§ 1 Scope
- These General Terms and Conditions (terms) apply to the use of the “AngebotPilot†software (web app and mobile apps) and all related services. The provider is Medin Turkes · Certi Development, [PLACEHOLDER: street and house number, postcode and town], Germany (hereinafter the “provider†or “weâ€).
- AngebotPilot is aimed exclusively at entrepreneurs within the meaning of § 14 BGB (German Civil Code: businesses and self-employed professionals), legal entities under public law and special funds under public law (hereinafter “usersâ€). By registering, the user confirms that they use AngebotPilot for their commercial or self-employed professional activity. Consumers within the meaning of § 13 BGB are excluded from use.
- Deviating, conflicting or supplementary terms and conditions of the user do not become part of the contract unless we expressly agree to their validity in text form (e.g. by e-mail).
§ 2 Registration and conclusion of the contract
- Use requires registration. The contract is concluded when the user completes the registration and we activate the account; as a rule, this happens when the e-mail address is confirmed.
- The user must provide truthful information during registration and in the company profile and keep it up to date. Login credentials must be kept confidential and protected against access by third parties.
- If the user invites other people to their company (team members), the user is responsible for ensuring that these people comply with these terms. The user manages roles and permissions within the company themselves.
§ 3 Services
- AngebotPilot is a software-as-a-service solution provided via the internet. In particular, it comprises: creating quotations with automatic calculation of totals and VAT, generating PDF documents, sending by e-mail with a personal customer link, online acceptance or rejection by the recipient, automatic reminders, customer management, templates, converting quotations into jobs, team functions with roles, and CSV export. The exact scope of functions is set out in the description on the website and the plan selected at the time of use.
- Mobile apps for Android and iOS are in preparation. There is no entitlement to their provision.
- We continuously develop AngebotPilot and may change, add or replace functions, provided this is reasonable for the user and the essential scope of services is maintained.
- AngebotPilot does not provide legal, tax or business advice. Notes and default settings in the software (e.g. on tax rates, on the small-business scheme under § 19 UStG (German VAT Act) or on the reverse-charge procedure under § 13b UStG) do not constitute advice and do not replace an assessment of the individual case.
§ 4 Trial period and pilot phase
- New users can try AngebotPilot free of charge for 30 days. The trial period ends automatically; it does not convert into a paid plan without an express order by the user. After the trial period ends, the stored data remains accessible for reading and can be exported; creating and sending new quotations may be restricted.
- AngebotPilot is currently in a pilot phase. No charges are made during the pilot phase. Functions may change more frequently during this time, and restrictions or interruptions may occur.
- During the trial period and the pilot phase, usage limits apply (e.g. number of users, quotations and e-mails per day); these are shown in the app.
§ 5 Prices and payment
- The plan prices stated on the website are provisional. All prices are net, plus VAT at the applicable statutory rate.
- Paid plans only take effect once online payment has been introduced and only after an express booking by the user. We will inform registered users in good time beforehand.
- Payment terms, billing period and payment methods: [PLACEHOLDER: to be added before online payment is activated]
§ 6 Availability
- We strive to keep AngebotPilot available as much as possible. No specific availability (service level) is guaranteed during the trial and pilot phase.
- The infrastructure is operated by external hosting providers, in some cases on plans with limited resources. Maintenance work, updates and disruptions beyond our control may lead to temporary restrictions. Wherever possible, we carry out planned maintenance at times of low usage.
- E-mails are sent via external service providers. We cannot guarantee delivery to the recipient (e.g. without being classified as spam).
§ 7 Obligations of the user
- Content of quotations: The user is responsible for all content of their quotations, jobs and e-mails, in particular for prices, descriptions of services, mandatory information and contract terms. AngebotPilot calculates on the basis of the user’s entries; the user checks the result before sending.
- Tax treatment: The choice of tax rates and tax treatment (e.g. standard taxation, small-business scheme, reverse charge) is solely the responsibility of the user. If in doubt, the user obtains tax advice.
- Lawful sending of e-mails: Via AngebotPilot, the user only sends e-mails to recipients for whom there is a legal basis for doing so – in particular quotations that the recipient has requested and reminders relating to such quotations. Advertising e-mails without the required consent (§ 7 UWG, German Act against Unfair Competition) are not permitted. Opt-outs from reminders that recipients declare via the link in the e-mail must be respected and must not be circumvented.
- Data protection: The user is the controller within the meaning of the GDPR for the personal data of their customers. The user ensures that they collect and process this data lawfully and fulfil their information obligations.
- Retention: The user is responsible for fulfilling statutory retention obligations (e.g. under the HGB (German Commercial Code) and the AO (German Fiscal Code)). AngebotPilot is not an archiving system within the meaning of the GoBD (German principles for proper electronic bookkeeping). We recommend regularly exporting documents that must be retained and backing them up separately.
- Misuse: The user must not use AngebotPilot for unlawful purposes, for sending unsolicited bulk e-mails, for distributing harmful content or for impairing the security and stability of the service. Automated access outside the interfaces provided is not permitted.
- Where there is a well-founded suspicion of a breach of these obligations, we may temporarily block individual functions (e.g. sending e-mails). We will inform the user of this and take their legitimate interests into account.
§ 8 Online acceptance by customers
- Via the personal customer link, the recipient can accept or reject a quotation online. AngebotPilot records the name entered by the recipient, the time and an optional message.
- This declaration is not a qualified electronic signature within the meaning of the eIDAS Regulation and does not satisfy statutory form requirements such as the written form (§ 126 BGB). Whether, and with what content, a contract is concluded between the user and their customer is governed solely by the rules applicable between them; the user checks this on their own responsibility.
- The provider does not become a party to contracts between the user and the user’s customers.
§ 9 Rights of use and content
- For the term of the contract, we grant the user the simple (non-exclusive), non-transferable and non-sublicensable right to use AngebotPilot within the scope of these terms and the selected plan.
- All rights to the content that the user places in AngebotPilot (e.g. texts, logos, customer data) remain with the user. The user grants us the rights required to store, process and display the content in order to provide the service. The user ensures that they hold the necessary rights to uploaded content, in particular logos.
§ 10 Data protection
Information on the processing of personal data can be found in our privacy policy. Insofar as we process personal data on behalf of the user, the data processing agreement (DPA), which is agreed upon conclusion of this contract, applies in addition. [to be checked: incorporation of the DPA at registration]
§ 11 Liability
Note: have the liability provisions legally reviewed before publication.
- We are liable without limitation for intent and gross negligence, for injury to life, body or health, under the German Product Liability Act (Produkthaftungsgesetz) and to the extent of any guarantee we have given.
- In the event of a slightly negligent breach of an essential contractual obligation, our liability is limited to the foreseeable damage typical for this type of contract. Essential contractual obligations are those whose fulfilment makes the proper performance of the contract possible in the first place and on whose compliance the user may regularly rely. Otherwise, liability for slight negligence is excluded.
- Insofar as AngebotPilot is provided free of charge (in particular during the trial and pilot phase), we are liable – except in the cases of paragraph 1 – only for intent and gross negligence.
- For the loss of data, we are only liable up to the amount of the effort that would have been required to restore it had the user backed up their data properly and regularly (e.g. by exporting it).
- We are not liable for the accuracy of the content of quotations created by the user, for the tax treatment chosen by the user or for the conclusion of contracts between the user and their customers.
- The above limitations of liability also apply in favour of our vicarious agents (Erfüllungsgehilfen).
§ 12 Term and termination
- The contract runs for an indefinite period. During the trial and pilot phase, the user can end it at any time without notice, in particular by deleting their account in the app.
- Terms and notice periods of paid plans: [PLACEHOLDER: e.g. monthly term, termination effective at the end of the billing period – to be defined before online payment is activated]
- We may end free use by giving four weeks’ notice in text form, for example if the pilot operation is discontinued.
- The right of both parties to terminate for good cause (extraordinary termination) remains unaffected. Good cause exists for us in particular in the event of serious or repeated breaches of § 7.
§ 13 Data export and deletion
- The user can export their customers, quotations and jobs as a CSV file at any time. Before termination or deletion of the account, the user should export all data they still need or are required to retain.
- If the user deletes their account and is the only active member of their company, the company’s data is deleted. If the company has other members, the company data is retained for them. Details are described on the Delete account page.
- After any other termination of the contract, we delete the user’s data within [PLACEHOLDER: period, e.g. 30 days], unless statutory retention obligations prevent this. The DPA applies to data processed on the user’s behalf.
§ 14 Changes to these terms
We may amend these terms with effect for the future if there is an objective reason for doing so (e.g. changes in the legal situation or new functions) and the user is not unreasonably disadvantaged as a result. We will notify changes in text form at least six weeks before they take effect. If the user does not object within this period, the changes are deemed accepted; we will point out this consequence separately in the notification. In the event of an objection, either party may terminate the contract with effect from the date on which the changes take effect.
§ 15 Final provisions
- The law of the Federal Republic of Germany applies, excluding the UN Convention on Contracts for the International Sale of Goods (CISG).
- If the user is a merchant (Kaufmann) within the meaning of the HGB, a legal entity under public law or a special fund under public law, the exclusive place of jurisdiction for all disputes arising from this contract is [PLACEHOLDER: town of the registered place of business].
- Should individual provisions of these terms be or become invalid, the validity of the remaining provisions remains unaffected.
